Subscription Service Agreement

This Agreement is entered into as of the date of subscription activation  |  getdispatchai.com

This Subscription Service Agreement (“Agreement”) is entered into between Dispatch Digital LLC, a New York limited liability company (“Company”), and the individual or entity completing the Stripe checkout (“Customer”). This Agreement governs Customer’s access to and use of the Dispatch AI service.

1. Parties

Service Provider: Dispatch Digital LLC  •  getdispatchai.com  •  [email protected]

Customer: The business entity or individual identified during the Stripe checkout process.

2. Services Provided

Company will provide Customer with access to the Dispatch AI platform, which includes:

  • AI-powered inbound call answering via a dedicated phone line
  • Lead qualification and job detail capture by AI voice agent (“Alex”)
  • Automated SMS delivery of captured information to Customer’s designated mobile number
  • Web-based account dashboard for call logs and usage monitoring
  • Standard email support via [email protected]

Dispatch AI is designed to complement, not replace, field service tools such as Jobber or Housecall Pro.

3. Term

This Agreement becomes effective on the date Customer activates a subscription or begins a free trial (“Effective Date”) and continues month-to-month until terminated.

Free Trial: New Customers receive a 14-day free trial. The trial converts to a paid monthly subscription automatically unless cancelled before the trial end date.

4. Fees & Payment

4.1 Base Subscription Fee: $299.00 per month, billed monthly in advance.

4.2 Included Minutes: 1,000 minutes of AI call handling per billing cycle.

4.3 Overage Fee: $0.20 per minute for usage exceeding 1,000 minutes per cycle.

4.4 Payment Processing: All payments are processed securely through Stripe. By providing payment information, Customer authorizes Company to charge the applicable fees on a recurring monthly basis.

4.5 Failed Payments: Access may be suspended if payment is not received within 5 business days of a failed charge.

4.6 No Refunds: All fees are non-refundable except as required by applicable law.

5. Customer Responsibilities

  • Provide accurate business and contact information during registration
  • Maintain a valid payment method on file at all times
  • Ensure the designated SMS number is current and correct
  • Use the Service in compliance with all applicable laws, including the TCPA
  • Obtain any legally required consents from individuals who call Customer’s business line
  • Promptly notify Company of any unauthorized access or security breach

6. Company Obligations

  • Provide the Service with reasonable skill and care
  • Use commercially reasonable efforts to maintain Service availability
  • Notify Customer of any planned maintenance affecting Service availability
  • Maintain reasonable security measures to protect Customer data
  • Respond to support inquiries within 2 business days

7. Service Level & Uptime

Company will use commercially reasonable efforts to maintain Service availability of 99% or greater, measured monthly, excluding scheduled maintenance. Company is not liable for downtime caused by factors outside Company’s reasonable control, including third-party outages or force majeure events.

8. Termination

8.1 By Customer: Cancel anytime through the account portal or by emailing [email protected]. Cancellation takes effect at end of current billing period. No refund will be issued for remaining days.

8.2 By Company: Company may terminate immediately if Customer: (a) materially breaches this Agreement; (b) engages in illegal conduct using the Service; or (c) fails to make payment after the grace period.

8.3 Effect of Termination: Access ceases upon termination. Call logs are retained for 30 days post-termination, then may be deleted.

9. Limitation of Liability

COMPANY’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR REVENUE.

COMPANY MAKES NO GUARANTEE OF SPECIFIC BUSINESS RESULTS, REVENUE GENERATION, LEAD CONVERSION RATES, OR CALL HANDLING OUTCOMES. THE SERVICE IS A TOOL AND ITS EFFECTIVENESS DEPENDS ON FACTORS OUTSIDE COMPANY’S CONTROL.

10. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential. This obligation does not apply to information that: (a) becomes publicly known through lawful means; (b) was rightfully known before disclosure; or (c) is required to be disclosed by law.

11. Data & Privacy

Company processes Customer data in accordance with its Privacy Policy at getdispatchai.com/privacy. Company does not sell Customer data to third parties. Customer is responsible for informing callers of any applicable recording or data collection disclosures required by law.

12. Independent Contractor

The parties are independent contractors. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency between the parties.

13. Governing Law & Disputes

This Agreement is governed by the laws of the State of New York. Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Dutchess County, New York.

14. Entire Agreement

This Agreement, together with the Dispatch AI Terms of Service incorporated herein by reference, constitutes the entire agreement between the parties and supersedes all prior discussions and agreements.

15. Electronic Acceptance

Customer accepts this Agreement electronically by completing the Stripe subscription checkout. Electronic acceptance is legally binding under the E-SIGN Act.
